1. Participation Fee (Processing Fee) – 100% Non-Refundable Policy
The Participation/Processing Fee (charged as per applicable project slabs ranging from ₹500 to ₹20,000 + 18% GST) is a mandatory administrative levy for accessing the digital Matchmaking Engine and securing bidding rights. This fee is strictly non-refundable and non-transferable under all circumstances, including but not limited to:
Vendor Withdrawal: Any change of decision, calculation error, or quote retraction by the Vendor post-payment.
Non-Selection: Failure of the Vendor to secure the L1 position, lowest quote status, or final project award.
Infrastructure Costs: This fee is immediately consumed to offset digital sourcing, cloud infrastructure maintenance, automated KYC verification, and platform overheads.
Subscription Quota Overages: If a subscribed vendor (Startup/Enterprises) exhausts their free quota and pays a standalone processing fee, that fee will also be governed by this strict non-refundable policy.
Exception (Technical Error / Double Payment): In the rare event of a duplicate transaction due to a payment gateway glitch, a refund will be processed. The Vendor must email clear payment evidence to
accounts@zugnooservices.com. Upon verification, the duplicate amount (excluding gateway charges) will be refunded within 7 working days.
2. Commitment Fee (Success Fee) & Milestone Protection
A. Vendor-Initiated Default (20% Forfeiture Penalty): If a Vendor is officially awarded a project/PO but fails to execute, withdraws post-award, or refuses to proceed after unlocking the Corporate Client’s details, 20% of the paid Commitment Fee shall be forfeited immediately as liquidated damages. The remaining 80% will be credited back to the original source or adjusted in the VM Wallet.
B. Corporate-Initiated Cancellation: If the Corporate Client cancels the project post-award or fails to issue the official PO within 3 months through no fault of the vendor, the Vendor is eligible for a 100% refund of the Commitment Fee (minus a nominal 2% payment gateway deduction). Alternatively, the vendor can choose to carry forward 100% of this balance for future project bidding without any deductions.
C. Partial Execution & DPR-Based Audits: In case of mid-project disputes or termination, refunds or adjustments will be mathematically calculated based on Verified Daily Progress Reports (DPR), geo-tagged/time-stamped site imagery, and the final structural audit by the VendorMate Review Committee.
3. Corporate Penalty & Automated Debt Recovery
0.5% Cancellation Levy: Corporate Clients or Aggregators who cancel a verified project after formal vendor allocation are liable to pay a 0.5% Cancellation Charge of the total Project Value.
Negative Wallet Protocol: Failure to clear this levy will result in an immediate Negative Balance in the Corporate’s platform wallet.
Self-Reconciling Recovery: All future affiliate incentives or royalty distributions (0.25%) will be automatically locked and adjusted against this negative balance until fully reconciled.
4. Zero Tolerance: Fraud, Cartelization & Platform Misuse
VendorMate maintains an absolute zero-tolerance framework toward:
Cartel Pricing: Any implicit or explicit collusion between vendors to artificially inflate bidding quotes.
Document Fabrication: Submission of forged or invalid GSTIN, PAN, MSME, or past experience certificates.
Project Blocking: Maliciously locking projects with low quotes with no operational capacity or intent to execute.
Consequence: 100% forfeiture of all active fees, immediate permanent account termination, and potential legal proceedings under the Bhartiya Nyaya Sanhita (BNS) / Indian Penal Code (IPC).
5. Governing Law & Dispute Resolution
All platform data logs, encrypted chat history, time-stamped DPRs, and digital transaction receipts serve as primary admissible evidence in legal terms. This policy is strictly governed by the laws of India, with exclusive legal jurisdiction resting solely in the courts of Gautam Buddh Nagar, Noida, Uttar Pradesh.
