1. Nature of Services (Facilitator Model)
VendorMate (“Platform”) is a proprietary brand owned and operated by Zugnoo Home Sync Solution LLP (“Company”).
The Platform operates strictly as a B2B managed marketplace and facilitator, connecting Corporate Clients (“Buyers”) with Service Providers/Contractors (“Vendors”).
The Platform does not act as a party to any contract, Purchase Order (PO), or agreement executed between Users.
All commercial transactions, execution, deliverables, and payment settlements are the sole responsibility of the transacting parties.

2. Eligibility & Registration
Platform access is restricted to legally recognized business entities and individuals above 18 years of age.
Users must provide valid GSTIN, PAN, and KYC documents.
The Company reserves the right to verify, reject, suspend, or terminate any account.

3. Fee Structure & Commercial Terms All fees are subject to applicable GST (18%).
A. Participation Fee (Processing Fee Slabs) (Updated) This fee is strictly non-refundable and must be paid to submit a quote: (Updated)
Project Value up to ₹50,000 → ₹199 + GST
Project Value ₹50,001 to ₹1,00,000 → ₹299 + GST
Project Value ₹1,00,001 to ₹5,00,000 → ₹499 + GST
Project Value ₹5,00,001 to ₹20,00,000 → ₹999 + GST
Project Value Above ₹20,00,000 → ₹1,999 + GST
B. Success Fee (Commitment Fee: 2% to 5%) Applicable only upon the successful award of the total project value. The exact percentage depends on the project category and will be mentioned in the Project / RFQ document. (Updated)
Milestone 1: 50% of the Commitment Fee is payable immediately upon award to unlock Buyer details (before the official PO is issued).
Milestone 2 (Completion Fee): The remaining 50% of the Commitment Fee will be payable upon project completion or invoice approval during the billing cycle.
Failure to comply may result in penalties or access restriction.

4. Cancellation & Default Penalties (Discipline Clause) A. Buyer Cancellation
0.5% cancellation charge on awarded project value.
Negative impact on Trust Score. B. Vendor Default / Non-Execution
20% of Success Fee / Commitment Fee forfeited.
Trust Score downgrade.
Possible suspension or blacklisting.

5. Affiliate Royalty Program (0.25%)
0.25% of invoice value credited to Buyer wallet.
Released only after payment confirmation.
Subject to TDS deduction under applicable laws.

6. Trust Score & Platform Governance VendorMate operates a Trust Score system based on:
Execution quality
Financial discipline
Platform behavior
Feedback The Company reserves the right to restrict access, limit participation, or suspend accounts based on performance.

7. Non-Circumvention Clause (Critical) Users agree that any Vendor and Buyer introduced via VendorMate:
Shall not engage in direct transactions outside the Platform for a period of 12 months from the first interaction.
Violation may result in: Immediate suspension, Financial penalty up to 10% of project value, and Legal action.

8. Platform Misuse & Prohibited Activities Users shall not:
Manipulate quotes or form cartels. (Updated)
Submit false or misleading quotes. (Updated)
Attempt to bypass platform fees.
Scrape or copy platform data.
Engage in fraudulent or unethical conduct. Violation may result in immediate suspension, financial penalties, or legal proceedings.

9. Account Suspension & Termination The Company may suspend or terminate accounts without prior notice in cases of fraud or misconduct, repeated defaults, policy violations, or legal risk. Upon termination, platform access is revoked, but financial obligations remain enforceable.

10. Intellectual Property (IP) All platform elements including Software, Algorithms, UI/UX, and Branding are the exclusive property of Zugnoo Home Sync Solution LLP. Unauthorized use is strictly prohibited.

11. Payment Disclaimer VendorMate does not act as an escrow or payment guarantee provider unless explicitly stated. All payments are the responsibility of:
Buyer → to Vendor
Vendor → to Platform “All online payments (Processing Fees, Commitment Fees, etc.) on the Platform are processed through secure, RBI-authorized third-party payment gateways (e.g., Razorpay). The Company does not store any credit/debit card details or UPI PINs. By making a payment, Users also agree to the terms and conditions of the respective payment gateway.” (Updated)

12. Limitation of Liability The Company shall not be liable for Vendor performance or execution, payment delays or defaults, project failures or losses, or indirect/consequential damages. Maximum liability (if any) is limited to fees paid to the Platform.

13. Indemnity Users agree to indemnify and hold harmless Zugnoo Home Sync Solution LLP against claims, legal disputes, and damages arising from their independent transactions or misconduct.

14. Data Usage Rights The Company may use anonymized data for Analytics, Platform improvements, and Business intelligence. No confidential data is disclosed without consent.

15. Tax Responsibility Users are solely responsible for GST, Income tax, and TDS compliance. The Platform holds no liability for tax disputes.

16. Force Majeure The Company is not liable for delays or failures caused by natural disasters, government restrictions, system outages, or third-party failures.

17. Dispute Resolution Between Users VendorMate acts only as a facilitator and passive mediator. We may provide DPR records, photo evidence, and platform logs. Final resolution must be handled through mutual settlement, arbitration, or legal proceedings.

18. Modification of Terms The Company reserves the right to modify these Terms at any time. Continued use of the Platform constitutes acceptance of updated Terms.

19. Governing Law & Jurisdiction These Terms are governed by Indian law. Jurisdiction: Courts of Gautam Buddh Nagar, Uttar Pradesh.
